Confidentiality & Non Disclosure Agreement
NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT
This Non-Disclosure and Confidentiality Agreement ("Agreement") is entered into by and between Law for Love LLC, its subsidiaries, and its affiliated agents and trustees, including the Law for Love Living Legacy Charitable Trust (collectively referred to as "Law for Love"), and the undersigned individual or entity ("Recipient").
This Non-Disclosure and Confidentiality Agreement ("Agreement") is entered into by and between Law for Love LLC, its subsidiaries, and its affiliated agents and trustees, including the Law for Love Living Legacy Charitable Trust (collectively referred to as "Law for Love"), and the undersigned individual or entity ("Recipient").
The Effective Date for this Agreement is contemporaneous with the Recipient's digital acceptance and email notification with a copy of this Agreement upon submission of digital acceptance.
1. PURPOSE
Law for Love agrees to disclose, and Recipient agrees to receive, certain confidential, proprietary, and/or trade secret information ("Confidential Information") solely for the purpose of supporting services rendered or explored in the capacity of vendor, contractor, strategic partner, or other business or organizational relationship.
2. CONFIDENTIAL INFORMATION
"Confidential Information" includes, but is not limited to:
- Business plans, strategies, and forecasts
- Mailing lists and client databases
- Internal procedures, operations, and financials
- Curriculum, content, and concepts
- Intellectual property owned or controlled by Law for Love, its trustees, agents, and subsidiaries
3. RECIPIENT’S OBLIGATIONS
Recipient agrees to:
☐ Maintain strict confidentiality of all Confidential Information
☐ Not disclose or use the information for any purpose other than intended
☐ Prevent unauthorized access or distribution
☐ Return or destroy materials upon request

4. EXCLUSIONS
This Agreement does not apply to information that:
☐ Was lawfully in the Recipient’s possession before disclosure
☐ Becomes publicly available through no breach
☐ Is disclosed to the Recipient by a third party lawfully
☐ Is independently developed without reference to Confidential Information
☐ Was lawfully in the Recipient’s possession before disclosure

5. TERM AND RETURN
This Agreement remains in effect indefinitely. Recipient will return or destroy all Confidential Information upon request.
6. REMEDIES
Recipient agrees that:
☐ Breach shall result in liquidated damages of no less than $75,000 per incident
☐ Law for Love may seek injunctive relief or other legal remedies
☐ Jurisdiction is in the U.S. District Court for the Northern District of Georgia

7. NO LICENSE
This Agreement does not grant the Recipient any right or license in or to the Confidential Information or related intellectual property.
8. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Georgia, without regard to conflict of laws provisions.
9. ENTIRE AGREEMENT
This Agreement represents the full understanding of the parties and supersedes any prior agreements or communications.
